CONTRACT FOR LOGISTICS AND DELIVERY
SERVICES
This Contract is made this , by and between:
CARGOLAND FOODS NIGERIA LIMITED, a company duly registered
under the laws of the Federal Republic of Nigeria, with its principal office
at:
(No: 6 Awori Street, Ile-IPO Alhaji Bus Stop, Egbeda Idimu Road, Lagos.
Nigeria), (hereinafter referred to as the "COMPANY", which expression shall
where the context so admits include its successors-in-title and assigns);
AND
The applicant registering as a delivery personnel (hereinafter referred to
as
the
"Carrier"), who agrees to provide delivery services on behalf of the
COMPANY.
1. SCOPE OF WORK
The Carrier shall provide transportation and delivery services for
consumables
and related goods sold by the COMPANY to its customers within Nigeria, in
accordance with the terms and conditions of this Contract.
2. SERVICES PROVIDED
The Carrier shall:
- Pick up goods from [COMPANY’s warehouse/address as specified by the
Company’s
Vendor];
- Deliver goods to the designated recipients/customers as instructed by the
COMPANY;
- Provide real-time tracking, updates, and proof of delivery (e.g. signed
delivery notes or digital confirmation);
- Ensure timely, secure, and professional handling of all goods.
3. PERFORMANCE STANDARDS
The Carrier agrees that:
- All deliveries shall be completed within a reasonable time as specified on
the
app.
- Vehicles and personnel used shall comply with applicable transport,
safety,
and hygiene regulations, especially for consumables;
- All delivery staff shall be properly trained and courteous.
4. SERVICE FEES AND PAYMENT
The COMPANY shall pay the Carrier delivery fees of [insert amount or

e.g. per package, per zone, or per km] for completed deliveries.

5. INSURANCE AND LIABILITY
The Carrier shall maintain in force appropriate goods-in-transit insurance
to
cover damage, theft, or loss of goods while in transit.
The Carrier shall be liable for any loss, theft, damage, contamination, or
misdelivery of goods in its custody, whether caused by its staff, agents, or
subcontractors.
6. INDEMNITY
The Carrier agrees to indemnify and hold harmless the COMPANY from and
against
any claims, liabilities, damages, losses, or costs (including legal fees)
arising out of:
- Any delay, damage, or loss of goods during transit;
- Any third-party claim resulting from the Carrier’s operation;
- Any breach of this Contract or violation of applicable laws and
regulations.
7. CONFIDENTIALITY
The Carrier shall treat all business, customer, and operational information
received from the COMPANY as confidential and shall not disclose such
information to third parties except as required by law or with prior written
consent.
8. TERM AND TERMINATION
This Contract shall commence on the Effective Date and remain in force for
an
initial period of Three Months, subject to automatic renewal unless
terminated
by either party with thirty (30) days’ written notice.
The COMPANY may terminate this Contract with immediate effect for:
- Breach of material obligations;
- Late deliveries;
- Compromise of product quality, safety and customer’s dissatisfaction.
9. DISPUTE RESOLUTION AND ARBITRATION
In the event of any dispute or difference arising from or in connection with
this Contract, the parties shall endeavour to resolve it amicably within
fourteen (14) days of notice.
If unresolved, the matter shall be referred to arbitration in accordance
with
the Arbitration and Mediation Act, 2023. The place of arbitration shall be
Lagos, Nigeria, and the language shall be English. The decision of the
arbitrator(s) shall be final and binding.
10. GOVERNING LAW
This Contract shall be governed by and construed in accordance with the laws
of
the Federal Republic of Nigeria.
11. NON-ASSIGNMENT
The Carrier shall not assign or subcontract any part of this Contract
without
the prior written consent of the COMPANY.
12. ENTIRE AGREEMENT
This Contract constitutes the entire agreement between the parties and
supersedes all prior agreements, understandings, and negotiations, whether
written or oral, relating to the subject matter herein.
